By creating an account, purchasing credits, uploading files, placing an order, or using any part of the ChipStrike website, you confirm that you have read, understood, and agree to these Terms of Service.
In these Terms, “ChipStrike”, “Company”, “we”, “us”, or “our” means CHIPSTRIKE LTD.
“Website” means https://chipstrike.com/ and any related pages, account areas, order forms, upload forms, support ticket sections, and digital interfaces operated by ChipStrike.
“User”, “you”, or “your” means any person or business that accesses the Website, creates an account, purchases credits, uploads files, places an order, or uses our Services.
“Services” means the digital ECU tuning file services provided by ChipStrike, including file analysis, file modification, ECU tuning, DSG or automatic tuning, additional ECU options, custom file requests, support tickets, and file delivery.
“File” or “ECU File” means any digital file uploaded by the User or supplied by ChipStrike, including original ECU files, modified files, tuning files, backup files, or related digital materials.
“Original File” means the file uploaded by the User before modification.
“Modified File” means the file delivered by ChipStrike after processing the User’s request.
“Credits” means the digital balance purchased by the User and used to pay for Services on the Website.
“Account” means the registered user area required to access and use the Services.
ChipStrike provides a digital platform for ECU tuning file processing. Users can upload original ECU files, provide vehicle and ECU details, choose tuning options, pay using credits, and receive processed files through their account.
The Services may include, depending on availability and technical suitability:
ChipStrike provides digital file services only. We do not physically inspect, repair, test, or modify vehicles. We do not install files into vehicles. The User remains responsible for reading, uploading, downloading, flashing, installing, testing, and using any file.
We reserve the right to refuse any order, file, request, or service where we believe the file cannot be processed, the information is incomplete, the request is unlawful, the User is located in a prohibited jurisdiction, or the request creates unacceptable technical, legal, commercial, or operational risk.
Our Services are available only to Users who create an account on the Website.
To use the Services, you must register and provide accurate, complete, and current information. This may include your name, email address, billing details, vehicle-related information, and other details required for account creation, payment, order processing, or support.
You are responsible for keeping your account information accurate and up to date. If your account details are incorrect, incomplete, outdated, or misleading, ChipStrike will not be responsible for any failed communication, delayed delivery, incorrect processing, failed order completion, or other consequences caused by such information.
You are responsible for maintaining the confidentiality of your login credentials. Any activity performed through your account will be treated as activity performed by you. If you believe your account has been accessed without authorisation, you must notify us immediately.
We may suspend, restrict, or terminate an account if we believe that the account has been used fraudulently, unlawfully, abusively, in breach of these Terms, or in a way that may harm ChipStrike, other Users, payment providers, technical systems, or third parties.
The User is fully responsible for all data provided in the account and during the order process.

ChipStrike processes orders based on the information supplied by the User. We are not responsible for verifying whether the User has provided the correct vehicle, ECU, software, VIN, file, or technical details.
If the User provides incorrect, incomplete, incompatible, corrupted, mismatched, or misleading data, the resulting file may not work correctly. In that case, the User remains responsible for the result, and ChipStrike will not be liable for failed installation, vehicle errors, software errors, damage, downtime, loss of use, additional costs, or any other consequences.
The User is fully responsible for the original file uploaded to ChipStrike.
Before submitting a file, the User must ensure that:
Supported formats may include, for example, .bin, .ecu, .ori, and other formats accepted by the Website or our team. Acceptance of an upload does not mean that the file is technically correct, complete, safe, compatible, or suitable for the requested service.
If ChipStrike modifies a file and sends it back based on an incorrect original file or incorrect vehicle data, ChipStrike will not be responsible if the modified file does not work, causes errors, cannot be written to the vehicle, creates faults, or produces an unexpected result.
To order a tuning file, the User must complete the order form through their account. The order process may require the User to provide vehicle details, select tuning options, upload the original ECU file, add comments or technical instructions, and confirm payment through the credit system.
The User must carefully review the order before submission. Once an order is submitted, it may begin processing and may not be cancellable.
The available tuning options and credit costs will be displayed on the Website or in the order form. ChipStrike may update available services, credit values, prices, descriptions, and technical options at any time.
An order is accepted only when ChipStrike confirms or begins processing it. We reserve the right to reject or cancel an order if the file cannot be processed, the User has provided insufficient information, the request is technically unsuitable, the request may be unlawful, payment is not complete, or the User is located in a prohibited jurisdiction.
ChipStrike operates through a credit-based payment system. Users must purchase credits before placing orders or must have sufficient credit balance in their account at the time of order submission.
Unless otherwise stated on the Website, 1 credit equals 0.10 USD (US Dollar). Prices displayed in other currencies are automatically converted according to the applicable exchange rates.
Credits are credited to the User’s account immediately after successful payment confirmation by the payment provider. In rare cases, credit activation may be delayed due to payment verification, technical issues, or third-party provider processing delays.
Credits are used to pay for selected tuning options. The total cost of an order is calculated based on the services selected by the User. Some options may have a fixed credit cost, while custom or complex requests may be priced individually.
Credits are personal to the User’s account and are non-transferable. They may not be transferred, sold, exchanged, assigned, shared with another account, or converted into cash unless expressly permitted by ChipStrike or required by applicable law.
ChipStrike may change credit prices, service prices, credit packages, promotional offers, or the cost of specific tuning options at any time. Such changes will not affect orders already accepted unless additional work is requested by the User.
Credits must not be obtained or used fraudulently. If we suspect abuse, payment fraud, chargeback abuse, unauthorised payment activity, or misuse of the credit system, we may suspend the account, cancel credits, refuse service, or take further action.
Payments for credits are made through third-party payment providers. ChipStrike does not collect or store full payment card details. Payment processing is subject to the terms, conditions, security checks, and approval procedures of the relevant payment provider.
An order will not be processed unless the User has sufficient credits or the required payment has been successfully completed.
The User is responsible for any taxes, duties, currency conversion charges, bank fees, or payment provider fees that may apply to their transaction, unless otherwise stated.
Payments on the Website may be displayed and processed in multiple currencies depending on the User’s location, selected settings, or payment provider availability.
ChipStrike reserves the right to perform additional payment verification or account verification checks where necessary for fraud prevention, security, legal compliance, or payment provider requirements.
If a payment is reversed, disputed, charged back, cancelled, declined, or later found to be unauthorised, ChipStrike may suspend the User’s account, cancel credits, withhold file delivery, restrict access to Services, or require repayment of outstanding amounts.
If the User initiates a chargeback, payment dispute, or reversal after credits have been added to the account or after Services have been provided, ChipStrike reserves the right to investigate the claim and take appropriate action, including account suspension or permanent termination.
The User agrees to contact ChipStrike before initiating a chargeback or payment dispute with their bank or payment provider in order to attempt resolution of the issue directly through our support team.
Repeated chargebacks, fraudulent payment disputes, or abuse of the payment system may result in permanent restriction from using the Website and Services.
Payments on the Website may be displayed and processed in multiple currencies, including but not limited to:

Files are normally processed and delivered within up to 2 business days after all required information and the correct original file have been received.

ChipStrike is not responsible for delays caused by incorrect User data, delayed User responses, payment issues, technical issues on the User’s side, or third-party systems.
The User is responsible for downloading and storing delivered files. ChipStrike may keep files available in the account for a reasonable period, but we do not guarantee permanent file storage unless expressly stated.
ChipStrike prepares files based on the information supplied by the User and the selected tuning option. However, we do not guarantee specific horsepower, torque, fuel economy, emissions, speed, drivability, dyno, or performance results.

ChipStrike does not install files into vehicles and is not responsible for the User’s installation or flashing process.
The User is solely responsible for:
If the User installs or uses a file incorrectly, uses unsuitable tools, writes the file to the wrong vehicle, interrupts the flashing process, fails to maintain correct voltage, modifies the file after delivery, or otherwise misuses the file, ChipStrike will not be liable for any resulting damage, faults, errors, breakdowns, data loss, vehicle immobilisation, or costs.
ChipStrike does not provide Services to Users located in, operating from, or intending to use the Services in jurisdictions where such services, vehicle software modifications, ECU tuning, emissions-related modifications, digital file services, or related activities are prohibited, restricted, sanctioned, or otherwise unlawful.
The User is solely responsible for ensuring that their use of the Website, Services, files, and any vehicle modifications complies with all applicable laws and regulations in their country, region, or place of use.
Some tuning options may affect emissions systems, vehicle compliance, roadworthiness, manufacturer warranties, insurance, inspection status, or legal use on public roads. Such options may be lawful only for racing, testing, off-road, export, research, or other limited uses depending on the jurisdiction.
By placing an order, the User confirms that:
ChipStrike may refuse, cancel, suspend, or restrict any service where we believe the request may breach applicable law, sanctions, export controls, emissions regulations, road safety rules, or other legal requirements.
If the User believes there is a technical issue with a delivered file, the User must contact ChipStrike through the support ticket system or by email as soon as possible.
The support ticket system is available in the User’s account and may be used for order-related questions, file issues, technical requests, and account-related support.
The complaint must include sufficient technical information, such as:
ChipStrike cannot properly review a complaint without technical evidence. General statements such as “the file does not work” may be insufficient.
If the issue is caused by an error on ChipStrike’s side, we may, at our discretion, correct the file, redeliver the file, issue account credits, or provide another reasonable solution.

Where ChipStrike is found liable despite these Terms, our total liability will be limited to the amount paid by the User for the specific service giving rise to the claim, or the value of the credits used for that service, unless a higher amount is required by applicable law.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
The User agrees to indemnify and hold harmless ChipStrike, its directors, employees, contractors, suppliers, and partners from any claim, demand, loss, liability, damage, fine, penalty, cost, or expense arising from:

The User is responsible for ensuring that any personal data they provide is accurate and lawfully supplied. If the User submits third-party data, including customer vehicle details or VINs, the User confirms that they have the legal right to provide that data to ChipStrike.
We implement appropriate technical and organisational measures to protect data, but no online system can be guaranteed to be completely secure.
The Website may rely on third-party providers, including payment processors, hosting providers, analytics services, security systems, email systems, and technical tools.
ChipStrike is not responsible for failures, delays, errors, or losses caused by third-party systems outside our reasonable control.
We aim to keep the Website available, but we do not guarantee uninterrupted access. The Website may be unavailable due to maintenance, updates, technical faults, cyber incidents, hosting issues, payment provider issues, force majeure events, or other reasons.

ChipStrike may update the Website, Services, prices, credit values, order process, available tuning options, delivery methods, and these Terms at any time.

ChipStrike will not be liable for failure or delay caused by circumstances beyond our reasonable control, including technical failures, internet outages, cyberattacks, power failures, supplier failures, payment provider issues, natural disasters, war, sanctions, legal restrictions, labour disputes, government action, or other events outside our control.
If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply. The invalid provision will be replaced by a valid provision that most closely reflects the original purpose.
These Terms of Service and any dispute arising from them are governed by the laws of England and Wales.
