These Terms of Service govern the use of the website https://chipstrike.com/ and all services provided through it.

By creating an account, purchasing credits, uploading files, placing an order, or using any part of the ChipStrike website, you confirm that you have read, understood, and agree to these Terms of Service.

1. Definitions

In these Terms, “ChipStrike”, “Company”, “we”, “us”, or “our” means CHIPSTRIKE LTD.

“Website” means https://chipstrike.com/ and any related pages, account areas, order forms, upload forms, support ticket sections, and digital interfaces operated by ChipStrike.

“User”, “you”, or “your” means any person or business that accesses the Website, creates an account, purchases credits, uploads files, places an order, or uses our Services.

“Services” means the digital ECU tuning file services provided by ChipStrike, including file analysis, file modification, ECU tuning, DSG or automatic tuning, additional ECU options, custom file requests, support tickets, and file delivery.

“File” or “ECU File” means any digital file uploaded by the User or supplied by ChipStrike, including original ECU files, modified files, tuning files, backup files, or related digital materials.

“Original File” means the file uploaded by the User before modification.

“Modified File” means the file delivered by ChipStrike after processing the User’s request.

“Credits” means the digital balance purchased by the User and used to pay for Services on the Website.

“Account” means the registered user area required to access and use the Services.

2. About Our Services

ChipStrike provides a digital platform for ECU tuning file processing. Users can upload original ECU files, provide vehicle and ECU details, choose tuning options, pay using credits, and receive processed files through their account.

The Services may include, depending on availability and technical suitability:

  • Car Tuning Stage 1;
  • Car Tuning Stage 2;
  • Car Tuning Stage 3;
  • Truck or Agriculture tuning;
  • DSG or automatic transmission tuning;
  • DPF, EGR, and other ECU-related options;
  • E85 FlexFuel, where technically possible;
  • Back to stock files;
  • Immo off, where technically possible;
  • Custom file requests;
  • Support ticket communication related to orders or files.

ChipStrike provides digital file services only. We do not physically inspect, repair, test, or modify vehicles. We do not install files into vehicles. The User remains responsible for reading, uploading, downloading, flashing, installing, testing, and using any file.

We reserve the right to refuse any order, file, request, or service where we believe the file cannot be processed, the information is incomplete, the request is unlawful, the User is located in a prohibited jurisdiction, or the request creates unacceptable technical, legal, commercial, or operational risk.

3. Services Are Available Only to Registered Users

Our Services are available only to Users who create an account on the Website.

To use the Services, you must register and provide accurate, complete, and current information. This may include your name, email address, billing details, vehicle-related information, and other details required for account creation, payment, order processing, or support.

You are responsible for keeping your account information accurate and up to date. If your account details are incorrect, incomplete, outdated, or misleading, ChipStrike will not be responsible for any failed communication, delayed delivery, incorrect processing, failed order completion, or other consequences caused by such information.

You are responsible for maintaining the confidentiality of your login credentials. Any activity performed through your account will be treated as activity performed by you. If you believe your account has been accessed without authorisation, you must notify us immediately.

We may suspend, restrict, or terminate an account if we believe that the account has been used fraudulently, unlawfully, abusively, in breach of these Terms, or in a way that may harm ChipStrike, other Users, payment providers, technical systems, or third parties.

4. User Responsibility for Account Data

The User is fully responsible for all data provided in the account and during the order process.

This includes, but is not limited to:

  • vehicle brand;
  • vehicle model;
  • vehicle generation or production year;
  • engine type;
  • ECU details;
  • gearbox information, VIN, and software or tool used
  • selected tuning type and uploaded original file
  • comments, instructions, custom requests, billing, and contact details

ChipStrike processes orders based on the information supplied by the User. We are not responsible for verifying whether the User has provided the correct vehicle, ECU, software, VIN, file, or technical details.

If the User provides incorrect, incomplete, incompatible, corrupted, mismatched, or misleading data, the resulting file may not work correctly. In that case, the User remains responsible for the result, and ChipStrike will not be liable for failed installation, vehicle errors, software errors, damage, downtime, loss of use, additional costs, or any other consequences.

5. User Responsibility for Uploaded Files

The User is fully responsible for the original file uploaded to ChipStrike.

Before submitting a file, the User must ensure that:

  • the file was correctly read from the relevant vehicle or ECU
  • the file is complete and not corrupted
  • the file corresponds to the correct vehicle and ECU
  • the file is in a supported or acceptable format
  • the file was obtained using suitable tools and procedures
  • the file may lawfully be submitted to ChipStrike
  • the User has all necessary rights, permissions, and authority to upload and use the file

Supported formats may include, for example, .bin, .ecu, .ori, and other formats accepted by the Website or our team. Acceptance of an upload does not mean that the file is technically correct, complete, safe, compatible, or suitable for the requested service.

If ChipStrike modifies a file and sends it back based on an incorrect original file or incorrect vehicle data, ChipStrike will not be responsible if the modified file does not work, causes errors, cannot be written to the vehicle, creates faults, or produces an unexpected result.

6. Order Process

To order a tuning file, the User must complete the order form through their account. The order process may require the User to provide vehicle details, select tuning options, upload the original ECU file, add comments or technical instructions, and confirm payment through the credit system.

The User must carefully review the order before submission. Once an order is submitted, it may begin processing and may not be cancellable.

The available tuning options and credit costs will be displayed on the Website or in the order form. ChipStrike may update available services, credit values, prices, descriptions, and technical options at any time.

An order is accepted only when ChipStrike confirms or begins processing it. We reserve the right to reject or cancel an order if the file cannot be processed, the User has provided insufficient information, the request is technically unsuitable, the request may be unlawful, payment is not complete, or the User is located in a prohibited jurisdiction.

7. Credit System

ChipStrike operates through a credit-based payment system. Users must purchase credits before placing orders or must have sufficient credit balance in their account at the time of order submission.

Unless otherwise stated on the Website, 1 credit equals 0.10 USD (US Dollar). Prices displayed in other currencies are automatically converted according to the applicable exchange rates.

Credits are credited to the User’s account immediately after successful payment confirmation by the payment provider. In rare cases, credit activation may be delayed due to payment verification, technical issues, or third-party provider processing delays.

Credits are used to pay for selected tuning options. The total cost of an order is calculated based on the services selected by the User. Some options may have a fixed credit cost, while custom or complex requests may be priced individually.

Credits are personal to the User’s account and are non-transferable. They may not be transferred, sold, exchanged, assigned, shared with another account, or converted into cash unless expressly permitted by ChipStrike or required by applicable law.

ChipStrike may change credit prices, service prices, credit packages, promotional offers, or the cost of specific tuning options at any time. Such changes will not affect orders already accepted unless additional work is requested by the User.

Credits must not be obtained or used fraudulently. If we suspect abuse, payment fraud, chargeback abuse, unauthorised payment activity, or misuse of the credit system, we may suspend the account, cancel credits, refuse service, or take further action.

8. Payments and Chargebacks

Payments for credits are made through third-party payment providers. ChipStrike does not collect or store full payment card details. Payment processing is subject to the terms, conditions, security checks, and approval procedures of the relevant payment provider.

An order will not be processed unless the User has sufficient credits or the required payment has been successfully completed.

The User is responsible for any taxes, duties, currency conversion charges, bank fees, or payment provider fees that may apply to their transaction, unless otherwise stated.

Payments on the Website may be displayed and processed in multiple currencies depending on the User’s location, selected settings, or payment provider availability.

ChipStrike reserves the right to perform additional payment verification or account verification checks where necessary for fraud prevention, security, legal compliance, or payment provider requirements.

If a payment is reversed, disputed, charged back, cancelled, declined, or later found to be unauthorised, ChipStrike may suspend the User’s account, cancel credits, withhold file delivery, restrict access to Services, or require repayment of outstanding amounts.

If the User initiates a chargeback, payment dispute, or reversal after credits have been added to the account or after Services have been provided, ChipStrike reserves the right to investigate the claim and take appropriate action, including account suspension or permanent termination.

The User agrees to contact ChipStrike before initiating a chargeback or payment dispute with their bank or payment provider in order to attempt resolution of the issue directly through our support team.

Repeated chargebacks, fraudulent payment disputes, or abuse of the payment system may result in permanent restriction from using the Website and Services.

9. Supported Currencies

Payments on the Website may be displayed and processed in multiple currencies, including but not limited to:

GBP (Pounds Sterling), EUR (Euro), USD (US Dollar), CAD (Canadian Dollar), AED (UAE Dirham), AUD (Australian Dollar), AZN (Azerbaijani Manat), CZK (Czech Koruna), HUF (Hungarian Forint), KZT (Kazakhstani Tenge), MDL (Moldovan Leu), NZD (New Zealand Dollar), PEN (Peruvian Sol), PLN (Polish Złoty), and UZS (Uzbekistani Som).

The available currency may depend on the User’s location, selected settings, or payment provider.

All payments are processed via third-party providers, and currency conversion rates, fees, and charges may be applied by the payment provider or the User’s bank.

10. File Delivery

Completed files are delivered digitally through the Orders section of the User’s account.

Files are normally processed and delivered within up to 2 business days after all required information and the correct original file have been received.

Delivery times are estimates and are not guaranteed deadlines. Delivery may take longer if:

  • the request is complex;
  • the uploaded file requires additional review;
  • the User provided incomplete information;
  • additional technical clarification is required;
  • the file is unusual, corrupted, unsupported, or difficult to identify;
  • there are payment or account issues;
  • there are technical, operational, security, or force majeure circumstances.

ChipStrike is not responsible for delays caused by incorrect User data, delayed User responses, payment issues, technical issues on the User’s side, or third-party systems.

The User is responsible for downloading and storing delivered files. ChipStrike may keep files available in the account for a reasonable period, but we do not guarantee permanent file storage unless expressly stated.

11. No Guarantee of Specific Performance Results

ChipStrike prepares files based on the information supplied by the User and the selected tuning option. However, we do not guarantee specific horsepower, torque, fuel economy, emissions, speed, drivability, dyno, or performance results.

Actual results depend on many factors outside our control, including:

  • vehicle condition
  • engine wear
  • hardware configuration
  • ECU version
  • fuel quality
  • transmission condition
  • sensors and mechanical components
  • installation method
  • software tools used by the User
  • previous modifications
  • local climate and operating conditions
  • maintenance history

Any figures, descriptions, examples, or expected results shown on the Website are general estimates only and should not be treated as guaranteed outcomes.

12. Installation, Flashing, and Use of Files

ChipStrike does not install files into vehicles and is not responsible for the User’s installation or flashing process.

The User is solely responsible for:

  • using suitable tools
  • following correct read/write procedures
  • maintaining stable vehicle voltage during flashing
  • creating backups
  • checking compatibility
  • ensuring the file is written to the correct ECU
  • testing the vehicle safely after installation
  • restoring the vehicle if needed
  • obtaining professional assistance where necessary

If the User installs or uses a file incorrectly, uses unsuitable tools, writes the file to the wrong vehicle, interrupts the flashing process, fails to maintain correct voltage, modifies the file after delivery, or otherwise misuses the file, ChipStrike will not be liable for any resulting damage, faults, errors, breakdowns, data loss, vehicle immobilisation, or costs.

13. Prohibited Jurisdictions and Legal Compliance

ChipStrike does not provide Services to Users located in, operating from, or intending to use the Services in jurisdictions where such services, vehicle software modifications, ECU tuning, emissions-related modifications, digital file services, or related activities are prohibited, restricted, sanctioned, or otherwise unlawful.

The User is solely responsible for ensuring that their use of the Website, Services, files, and any vehicle modifications complies with all applicable laws and regulations in their country, region, or place of use.

Some tuning options may affect emissions systems, vehicle compliance, roadworthiness, manufacturer warranties, insurance, inspection status, or legal use on public roads. Such options may be lawful only for racing, testing, off-road, export, research, or other limited uses depending on the jurisdiction.

By placing an order, the User confirms that:

  • they are legally allowed to request the selected service;
  • they will not use the file unlawfully;
  • they will not use the file in a prohibited jurisdiction;
  • they accept full responsibility for local compliance;
  • they will indemnify ChipStrike against any claim, fine, penalty, loss, or damage arising from unlawful use.

ChipStrike may refuse, cancel, suspend, or restrict any service where we believe the request may breach applicable law, sanctions, export controls, emissions regulations, road safety rules, or other legal requirements.

14. Complaints, Support Tickets, and File Issues

If the User believes there is a technical issue with a delivered file, the User must contact ChipStrike through the support ticket system or by email as soon as possible.

The support ticket system is available in the User’s account and may be used for order-related questions, file issues, technical requests, and account-related support.

The complaint must include sufficient technical information, such as:

  • order number
  • original file
  • modified file
  • vehicle details
  • ECU details
  • tool used to read/write the file
  • error codes
  • logs
  • screenshots
  • diagnostic reports
  • description of the issue
  • steps already taken

ChipStrike cannot properly review a complaint without technical evidence. General statements such as “the file does not work” may be insufficient.

If the issue is caused by an error on ChipStrike’s side, we may, at our discretion, correct the file, redeliver the file, issue account credits, or provide another reasonable solution.

No correction, refund, or credit will be due where the issue is caused by:

  • incorrect User data
  • incorrect original file
  • corrupted file
  • unsupported ECU
  • wrong vehicle information
  • wrong tuning option selected
  • incorrect installation
  • unsuitable flashing tools
  • third-party software or hardware
  • vehicle mechanical problems
  • previous modifications
  • User alteration of the delivered file
  • use in breach of these Terms

15. Refunds and Cancellations

Because ChipStrike provides digital and customised file services, orders are generally non-refundable once processing has started or the file has been delivered.

Credits purchased for the account are generally non-refundable, except where required by applicable law or expressly agreed by ChipStrike.

Refunds will not be provided where:

  • the User supplied incorrect or incomplete data;
  • the User uploaded the wrong file;
  • the file was corrupted, incomplete, or incompatible;
  • the User selected the wrong service;
  • the User changed their mind after processing began;
  • the vehicle has mechanical or electrical problems;
  • the User cannot install the file;
  • the User used unsuitable tools;
  • the User expected a performance result that was not guaranteed;
  • the service was refused due to unlawful use or prohibited jurisdiction.

If ChipStrike agrees to provide compensation, we may provide it as account credits unless applicable law requires another method.

16. Intellectual Property and Licence

The Website, branding, text, graphics, software, systems, workflows, service descriptions, digital materials, and other content belong to ChipStrike or its licensors and are protected by intellectual property laws.

Files delivered by ChipStrike are provided under a limited, non-exclusive, non-transferable licence for use only with the relevant vehicle or project for which they were ordered, unless otherwise agreed in writing.

The User must not:

  • resell files as ChipStrike files without permission
  • distribute delivered files publicly
  • upload delivered files to file-sharing platforms
  • reverse engineer ChipStrike methods or systems
  • copy, modify, or exploit Website content
  • use files for vehicles or purposes not covered by the order
  • remove proprietary notices or identifiers

For workshops or professionals ordering on behalf of customers, the delivered file may be used for the relevant customer vehicle connected to the order, but may not be reused across multiple vehicles unless expressly authorised.

17. User Conduct

The User agrees not to:

  • use the Website for unlawful purposes;
  • upload malicious files, viruses, or harmful code;
  • attempt to access other accounts;
  • interfere with Website security;
  • use automated scraping or abusive systems;
  • submit false, misleading, or fraudulent information;
  • abuse the support ticket system;
  • threaten, harass, or abuse staff;
  • attempt to avoid payment;
  • misuse credits or promotions;
  • use the Services in prohibited jurisdictions.

ChipStrike may suspend or terminate access if the User breaches these rules.

18. Account Suspension and Termination

ChipStrike may suspend, restrict, or terminate a User account at any time if:

  • the User breaches these Terms;
  • payment is reversed or disputed;
  • fraud or misuse is suspected;
  • the User provides false information;
  • the User uploads harmful or unlawful files;
  • the User is located in a prohibited jurisdiction;
  • continued service creates legal, technical, or commercial risk;
  • required by law, regulator, payment provider, or security provider.

Termination does not remove the User’s obligation to pay outstanding amounts or responsibility for prior activity.

19. Disclaimers

The Website and Services are provided on an “as is” and “as available” basis.

ChipStrike does not warrant that:

  • the Website will always be available;
  • all files can be processed;
  • all vehicles or ECUs are supported;
  • all tools will be compatible;
  • specific performance results will be achieved;
  • files will meet local legal or inspection requirements;
  • use of a file will not affect warranties, insurance, emissions compliance, or vehicle durability.

The User accepts that ECU tuning and file modification involve technical risk. The User assumes full responsibility for using any delivered file.

20. Limitation of Liability

To the maximum extent permitted by law, ChipStrike will not be liable for:

  • vehicle damage
  • ECU damage
  • engine damage
  • gearbox damage
  • sensor faults
  • software errors
  • failed flashing
  • loss of data
  • loss of use of vehicle
  • recovery costs
  • repair costs
  • diagnostic costs
  • business interruption
  • loss of profits
  • loss of customers
  • loss of contracts
  • fines or penalties
  • inspection failure
  • emissions compliance issues
  • insurance issues
  • manufacturer warranty issues
  • indirect or consequential loss

ChipStrike will not be liable for any issue caused by incorrect User data, incorrect files, unsuitable tools, wrong installation, unlawful use, third-party equipment, vehicle condition, or User misuse.

Where ChipStrike is found liable despite these Terms, our total liability will be limited to the amount paid by the User for the specific service giving rise to the claim, or the value of the credits used for that service, unless a higher amount is required by applicable law.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.

21. Indemnity

The User agrees to indemnify and hold harmless ChipStrike, its directors, employees, contractors, suppliers, and partners from any claim, demand, loss, liability, damage, fine, penalty, cost, or expense arising from:

  • the User’s breach of these Terms;
  • incorrect data supplied by the User;
  • incorrect or unlawful file use;
  • use in a prohibited jurisdiction;
  • breach of local laws or regulations;
  • vehicle damage or third-party claims;
  • intellectual property infringement;
  • misuse of the Website or Services;
  • installation or flashing performed by the User or a third party.

22. Data Protection and Privacy

ChipStrike processes personal data in accordance with its Privacy Policy.

The User is responsible for ensuring that any personal data they provide is accurate and lawfully supplied. If the User submits third-party data, including customer vehicle details or VINs, the User confirms that they have the legal right to provide that data to ChipStrike.

We implement appropriate technical and organisational measures to protect data, but no online system can be guaranteed to be completely secure.

23. Third-Party Services

The Website may rely on third-party providers, including payment processors, hosting providers, analytics services, security systems, email systems, and technical tools.

ChipStrike is not responsible for failures, delays, errors, or losses caused by third-party systems outside our reasonable control.

24. Website Availability

We aim to keep the Website available, but we do not guarantee uninterrupted access. The Website may be unavailable due to maintenance, updates, technical faults, cyber incidents, hosting issues, payment provider issues, force majeure events, or other reasons.

ChipStrike is not liable for any loss caused by Website downtime or temporary unavailability.

25. Changes to Services and Terms

ChipStrike may update the Website, Services, prices, credit values, order process, available tuning options, delivery methods, and these Terms at any time.

Updated Terms will be published on the Website. Continued use of the Website or Services after updates means that the User accepts the revised Terms.

26. Force Majeure

ChipStrike will not be liable for failure or delay caused by circumstances beyond our reasonable control, including technical failures, internet outages, cyberattacks, power failures, supplier failures, payment provider issues, natural disasters, war, sanctions, legal restrictions, labour disputes, government action, or other events outside our control.

27. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply. The invalid provision will be replaced by a valid provision that most closely reflects the original purpose.

28. Governing Law and Jurisdiction

These Terms of Service and any dispute arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have jurisdiction over disputes arising from or relating to these Terms, the Website, or the Services, unless applicable consumer protection law requires otherwise.
